Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you ("you") and Noria Ltd (BRN: I12010154), operating out of Mauritius, concerning your access to and use of the norialtd.com website and the Quasar desktop application (collectively, the "Software").

1. Software Licensing & Intellectual Property

License Grant: Upon lawful purchase of a Quasar license, Noria Ltd grants you a revocable, non-exclusive, non-transferable, limited perpetual license to use the Software.

Cryptographic Verification: Access is gated by an airgapped Ed25519 cryptographic key. You agree not to bypass or distribute this key. Noria Ltd reserves the right to cryptographically revoke fraudulently distributed keys.

Ownership: The Software is licensed, not sold. Noria Ltd retains all intellectual property rights.

2. Data Sovereignty & User Responsibility

Zero-Knowledge Architecture: Quasar is an offline-first application. Local databases are secured using SQLite wrapped in SQLcipher. Any data snapshots synced to our infrastructure (Supabase) are strictly end-to-end encrypted (E2EE) on your device using XChaCha20-Poly1305 before transmission.

Total Data Liability: Because Noria Ltd utilizes a zero-knowledge framework, we have absolute zero access to your unencrypted data.

Data Loss & Recovery: You are 100% solely responsible for backing up your databases and securing your seed phrases. Noria Ltd assumes zero liability for data corruption, hardware failure, or lost seed phrases. If you lose your seed phrase, your data is permanently unrecoverable.

3. Payments, Refunds, & Merchant of Record

Paddle Integration: Noria Ltd utilizes Paddle.com as our Merchant of Record. All payment processing and compliance are handled directly by Paddle.

Pricing & Subscriptions: During the beta testing phase, early backers receive discounted pre-release pricing for the Founding Member package. At public launch, the normal price for a Perpetual License is $349 (Freelancer) or $899 (Pro). We also offer Continuous Subscriptions at $19/mo and $49/mo respectively, which include a 20-Month Rent-to-Own Guarantee. Active continuous subscribers receive access to future major versions (V2.0+) for free, while Perpetual License holders may upgrade at a 50% discount.

Refund Policy: We offer a strict 14-day money-back guarantee for the Founding Member license. Requests must be submitted to hello@norialtd.com within 14 days of purchase. Upon refund, your Ed25519 license key will be invalidated.

4. Disclaimers & Limitation of Liability

"As-Is" Provision: The Software is provided on an "AS-IS" and "AS-AVAILABLE" basis.

Liability Cap: Our maximum liability to you for any cause whatsoever will at all times be limited to the amount paid by you for the Software during the initial purchase.

Governing Law: These Terms are governed by the laws of Mauritius.
